The State of California requires that all new LLCs file a Statement of Information (SOI). You can read more about California’s SOI here.
Your LLC’s first SOI must be submitted within 90 days of the date your LLC was officially formed. You can find this date on your Secretary of State (SOS) website, in your formation approval notice, or listed in your Articles of Organization. Afterwards, your LLC SOI is due biennially (every 2 years).
Filing your SOI is easy! Follow the steps below:
1. Start by going to the California Secretary of State website to register your account: https://idm.sos.ca.gov/signin/register
2. Create your account by completing the required fields and then click Register.
3. You will then be taken to the bizfile Online California Secretary of State site. You will need to log back into the account you just created. Click the Login button in the top right-hand corner.

4. Once logged in, select ‘File a LLC Statement of Information' under the Business Entities section.

5. Search for your LLC’s name and select it.


6. Then click - File Statement of Information.
7. Privacy Warning / Terms and Conditions of Use - read the Privacy Warning and the Terms and Conditions of Use, and then select you've read and agree to them, then click Next Step


8. Submitter - enter your name, email and phone number

9. Entity Details - This may automatically pre-populate, but if not, enter your LLC name, Entity No. (12 digit number issued by CA), Formed in (California)

10. Business Address - The address information will pre-populate using the state’s most recent records. The information should match Collective’s records. If there are changes to the address information, please update this section, accordingly with the state, then notify Collective to update your account records. Review your Street Address of Principal Office of LLC (your business's primary physical location), Mailing Address of LLC, and Street Address of California Office of LLC (your business's physical location that must be in CA).

11. Manager(s) or Member(s) - Click Add and then enter your Name & Address

12. Agent for Service of Process -
- Select Agent Type - California Registered Corporate Agent or Individual
- If selecting "California Registered Corporate Agent," you will be prompted to check off the following box:
- "I certify the selected California Registered Corporate Agent (1505) has agreed to serve as the Agent for Service of Process for this entity” and make sure Registered Agent Solutions, Inc. is listed.
- If selecting "California Registered Corporate Agent," you will be prompted to check off the following box:
*Note: Registered Agent Solutions, Inc. (RASi) is Collective’s Registered Agent Partner. Their registered agent service in a single state is included with your Collective membership fee, at no additional cost to you.

13. Type of Business and Email Notifications - enter a short description of your business’s services & select if you prefer to receive email notifications or USPS mail.

14. Chief Executive Officer - you can click Add to add a CEO, or click Next Step if you do not have a CEO.

15. Labor Judgement - answer Yes or No to this question
16. Review and Signature - check the box to authorize the information is correct. Click the Add button to add your signature


17. Processing Fee - there is a $20 processing fee. You do not necessarily need a certified copy of the filing unless you want one for an additional $5 charge So you can either check that box to receive a copy or not, then click Next Step.

18. File Online - click File Online
19. Payment Successful - click the download button next to Form & the download button next to Business Entity Filing Acknowledgment to download and save the forms.

Last Step: Upload the Form & Business Entity Filing Acknowledgement to the Document Center within your Collective Dashboard.
