Common Misconceptions
"I already filed my income taxes, so I'm covered." Your Secretary of State report and your income tax return go to different agencies and serve different purposes. Filing one doesn't satisfy the other. See our article on state tax compliance for more on that distinction.
"My S Corp election changes what I owe the Secretary of State." It doesn't. An S Corp election is a federal tax choice. Your state-level LLC maintenance obligations stay the same either way.
"If I missed the deadline once, my LLC is already dissolved." Not necessarily. Most states allow a grace period or reinstatement process after a missed deadline, though penalties and, in some cases, added fees usually apply.
