How to move states with your LLC

The path forward varies depending on the relocation option you’ve selected. Let’s go through the process for each.

What you need to know

Moving to a new state is an exciting adventure, but it comes with a unique set of processes when you own a Limited Liability Company (“LLC”). If you're planning a personal move and have an LLC, here are the steps you need to take depending on the LLC relocation option you’ve selected.

What to do

To make sure we have enough time to help you plan, please inform Collective about any moves to a new state at least two months prior to your relocation.

  • Which state you are planning to move to

  • The date you plan on moving

  • Which relocation option you have selected:

    1. Foreign registration

    2. Redomestication

    3. Dissolution and reformation

Foreign Registration

If you’ve selected foreign registration, we’ll ask you to confirm a few details and then introduce you to our partner, Registered Agent Solutions Inc (“RASI”), who will prepare a quote to get your entity set up in your new state.

There will be a one-time fee associated with the foreign registration, which we will pass through to you.

The process will follow the steps below:

  1. Quote and Approval

    1. RASI will send the quote over for your review and approval.

    2. Once approved, RASI will begin to prep the forms for filing and will send them for your review and signature (if necessary).

  2. Filing and Confirmation

    1. RASI will file the forms with the relevant state body on your behalf.

    2. Once the state processes the filings, RASI will send you confirmation that your LLC is now foreign registered in the new state. Please note the timeline for this process can vary widely by state.

    3. RASI will act as your registered agent in your new state (the cost of these services is included in your membership fee).

  3. Change of Address

    1. Once the state processes your filings, complete the IRS change of business address form, sign it and send it directly to the IRS at the address below:

      Ogden, UT 84201-0023

  4. Employer registration

    1. Collective will register you as an employer in the new state, so that we can obtain the state tax IDs which will allow you to run payroll in your new state.

    2. Your new tax IDs will be updated in Gusto.

    3. We’ll close the payroll tax accounts in the state you moved from.

  5. Notification

    1. Inform any banks, clients, vendors and government agencies of your LLC's relocation and any changes to your contact information.

    2. Update your business address on your website, marketing materials and other public-facing information.

Redomestication

If you’ve selected redomestication, we’ll ask you to confirm a few details and then introduce you to our partner, Registered Agent Solutions Inc (“RASI”), who will conduct research to determine if redomestication between your old state and new state is possible, and prepare a quote if so. Redomestication quotes can often take 1-2 weeks to prepare due to the complexity of the process.

There will be a one-time fee associated with the redomestication filing, which we will pass through to you.

The process will follow the steps below:

  1. Quote and Approval

    1. RASI will send the quote over for your review and approval.

    2. Once approved, RASI will begin to prep the forms for filing and will send them for your review and signature (if necessary).

  2. Filing and Confirmation

    1. RASI will file the forms with the relevant state bodies on your behalf.

    2. Once the states process the filings, RASI will send you confirmation that your LLC is now registered in your new state and is no longer active in your old state. Please note the timeline for this process can vary widely by state.

    3. RASI will act as your registered agent in your new state (the cost of these services is included in your membership fee).

  3. Change of Address

    1. Once the state processes your filings, complete the IRS change of business address form, sign it and send it directly to the IRS at the address below:

  4. Employer registration

Dissolution and Reformation

If you’ve selected dissolution and reformation, we’ll ask you to confirm a few details and then introduce you to our partner, Registered Agent Solutions Inc (“RASI”), who will prepare a quote to handle the dissolution of your LLC in the old state. At the same time, Collective will begin the process of filing your new formation documents to create the LLC in your new state.

There will be a one-time fee associated with the dissolution filing, which we will pass through to you.

The process will follow the steps below:

  1. Quote and Approval

    1. RASI will send the quote over for your review and approval.

    2. Once approved, RASI will begin to prep the forms for filing and will send them for your review and signature (if necessary).

  2. Filing and Confirmation

    1. RASI will file the forms with the relevant state body on your behalf. Collective will begin the process of filing your new formation documents to create the LLC in your new state.

    2. Once your old state processes the filings, RASI will send you confirmation that your LLC is dissolved. Please note the timeline for this process can vary widely by state.

    3. RASI will act as your registered agent in your new state (the cost of these services is included in your membership fee).
